Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HiveCFO platform ("Platform") operated by HiveCFO Limited, a company registered in England and Wales with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("HiveCFO", "we", "us").

By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. These Terms are governed by the laws of England and Wales.

HiveCFO provides a Readiness-as-a-Service platform for growth-stage businesses. Our services include:

— HiveIndex valuations and readiness scoring — HiveCert — certified valuation certificates issued by HiveCFO Limited — Growth Radar — AI-matched lead intelligence — Board pack and document management tools — Investor portal access

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice where possible.

You must be at least 18 years old and have authority to bind your organisation to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must provide accurate and complete information when registering. Notify us immediately at support@hivecfo.io if you suspect unauthorised access to your account.

We may suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are associated with fraudulent activity.

HiveCerts are valuation certificates issued by HiveCFO Limited based on financial data you provide, assessed by HiveIndex, HiveCFO's proprietary valuation engine. By requesting a HiveCert, you represent that all information provided is accurate and complete to the best of your knowledge.

HiveCerts are produced by HiveIndex, which applies four recognised international valuation methodologies to the information available at the time of issuance. A HiveCert reflects that assessment on its issue date, is not an audit or a guarantee of future performance, and should not be relied upon as the sole basis for an investment decision.

HiveCFO Limited is not a regulated financial adviser under the Financial Services and Markets Act 2000. HiveCerts do not constitute financial advice, investment recommendations, or guarantees of future performance.

Misrepresenting a HiveCert, altering its contents, or using it in a manner intended to deceive investors or third parties is strictly prohibited and may result in immediate account termination and legal action.

You agree not to:

— Provide false, misleading, or fraudulent information to obtain a HiveCert or readiness score — Attempt to reverse-engineer, scrape, or copy the Platform or its underlying systems — Use the Platform for any unlawful purpose or in violation of applicable regulations — Interfere with or disrupt the Platform's infrastructure or other users' access — Share your account credentials with unauthorised third parties — Use automated tools to access the Platform without our prior written consent

We reserve the right to investigate and take appropriate action, including account suspension and referral to law enforcement, for violations of this section.

All content, software, design, and branding on the Platform — including the HiveCFO name, HiveCert design, and all associated marks — are owned by or licensed to HiveCFO Limited. Nothing in these Terms grants you any intellectual property rights in the Platform beyond the limited licence to use it for your own business purposes.

You retain ownership of the financial data and content you upload. By uploading content, you grant HiveCFO a limited licence to process and use it to provide the services described in these Terms.

Some features of the Platform require a paid subscription. Pricing is set out on our pricing page and may change with 30 days' notice to existing subscribers.

Payments are processed by our third-party payment provider. By subscribing, you authorise recurring charges to your payment method at the frequency selected. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period with no refund for the remaining period unless required by law.

Some features are sold as one-off purchases rather than subscriptions, including Hive Intel credits and additional HiveCerts. These are supplied immediately on payment and are non-refundable. Credits purchased do not expire and remain available on your account until used. By completing a one-off purchase you request immediate supply of that digital content and acknowledge that you lose any right to cancel it once supplied.

Cancelling a subscription stops future charges. It does not refund the current period, and access continues until the end of the period already paid for.

All prices are in US Dollars unless otherwise stated. You are responsible for any applicable taxes.

To the fullest extent permitted by applicable law, HiveCFO Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of profits, loss of data, or business interruption.

Our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to HiveCFO in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

The Platform is provided "as is" and "as available". We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of the Platform or any content generated by it, including valuations and readiness scores.

Valuations and readiness scores are estimates based on information you provide and our analytical methodologies. They are not guarantees and should be used as one input among many in your business and investment decisions.

You may close your account at any time by contacting support@hivecfo.io. We do not delete account data upon closure — data is retained in accordance with our Privacy Policy and applicable law.

We may terminate or suspend your access immediately, without prior notice, for material breach of these Terms. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

These Terms are governed by the laws of England and Wales. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage you to contact us at support@hivecfo.io before initiating any formal proceedings. We will make reasonable efforts to resolve disputes informally.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
